4.订单的确认

5.付款

乙方开出信用证后，应立即通知甲方，以便甲方准备交货。

6.佣金

在本协议期满时，若乙方完成了第二款所规定的数额，甲方应按装运货物所收到的发票累计总金额付给乙方_________%的佣金。

upon the expiration of the agreement and party b's fullfilment of the total turnover mentioned in article 2， party a shall pay to party b _________% commission on the basis of the aggregate amount of the invoice value against the shipments effected.

7.市场情况报告

reports on market conditions

乙方每3个月向甲方提供一次有关当时市场情况和用户意见的详细报告。

同时，乙方应随时向甲方提供其他供应商的类似商品样品及其价格、销售情况和广告资料。

party b shall forward once every tee months to party a detailed reports on current market conditions and of consumers' comments. meanwhile， party b shall，from time to time， send to party a samples of similar commodities offered by other suppliers， together with their prices， sales information and advertising materials.

8.宣传广告费用

advertising & publicity expenses

在本协议有效期内，乙方在上述经销地区所作广告宣传的一切费用，由乙方自理。

乙方须事先向甲方提供宣传广告的图案及文字说明，由甲方审阅同意。

party b shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this agreement and submit to party a all patterns and/or drawings and description for prior approval.

9.协议有效期

本协议经双方签字后生效，有效期为_________天，自_________至_________。

若一方希望延长本协议，则须在本协议期满前1个月书面通知另一方，经双方协商决定。

若协议一方未履行协议条款，另一方有权终止协议。

该委员会的决定是终局的，对双方均具有约束力。

仲裁费用，除另有规定外，由败诉一方负担。

all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached， the case in dispute shall then be submitted to the foreign trade arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decision made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party ，unless otherwise awarded.

11.其他条款

other terms & conditions

(1)甲方不得向经销地区其他买主供应本协议所规定的商品。

如有询价，当转达给乙方洽办。

若有买主希望从甲方直接订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给予乙方_________%的佣金。

party a shall not supply the contracted commodity to any other buyer(s) in the above mentioned territory. direct enquiries， if any， will be referred to party b. however， should any other buyers wish to deal with party a directly， party a may do so. but party a shall send to party b a copy of sales confirmation and give party b _________% commission on the basis of the net invoice value of the transaction(s)concluded.

(2)若乙方在_________月内未能向甲方提供至少_________订货，甲方不承担本协议的义务。

(3)对双方政府间的贸易，甲方有权按其政府的授权进行有关的直接贸易，而不受本协议约束。

第二条、产品质量标准及保修

2.1产品的质量按国家相关质量标准执行，乙方保证产品符合国家相关产品标准及要求，同时乙方对产品质量负完全责任，保证能够通过国家相关职能部门的验收。

2.2乙方对产品的质保期为：?年，自验收合格交付甲方之日开始计算，质保期内如出现质量问题，乙方应在收到甲方通知后24小时内到现场进行免费维修或做更换处理，逾期按每天?元累计计算违约金。

第三条、计量方法

第五条?交货地点、方法及期限

5.1交货地点为甲方工地现场指定地点。指定地点即：?（甲方有权根据实际情况通知乙方将货物运到其他地点交给其他单位或个人，但甲方应在交货前24小时内通知乙方）。标的物所有权自交货时转移至甲方。

5.2交货方法，按下列第?项执行：

（1）乙方负责送货；（2）乙方负责委托第三方运输，甲方负责运费；（3）甲方自提自运。

5.3货物装卸采用第?种方法执行：

（1）?乙方负责装卸；（2）乙方负责装、甲方负责卸；（3）甲方负责装卸。

5.4交货期限：

第六条、交货和结算凭证的特别约定

6.1?交货时双方应做好书面记录，明确品名、数量、质量、规格等货物基本情况及交货时间、地点，相应送货单必须由甲方相应的库管员和采购人员共同签字认可，并由乙方完善相关结算凭证的审批手续，在甲方财务部挂帐后方有效，否则视为乙方未履行交货义务。

6.2乙方委托（身份证号码：?）作为结算凭证的经办人，受托人在结算凭证上的签字行为，视为乙方确认。

6.3材料交付验收程序：

6.3.1每次送货后，必须使用乙方提供的经双方认可的送货单，并由乙方委托人员在送货单的结帐联上签字确认送货数量，甲方库管人员才予以验收。若乙方实际送货的数量比送货单上明确的数量少，则乙方此前所送的每批次货都应按扣除本次差量为双方的实际结算量。乙方每发生一次差量，还应按本协议第10.7条约定向甲方承担违约金。

6.3.2?乙方须在送货后日内凭甲方认可的送货单、材料入库验收单到甲方开具内部结算付款凭证作为结算依据之一，否则甲方有权拒绝支付当次货款。乙方从送货单开票之日起?日内须完善甲方审批及财务挂账手续，否则该送货单自动失效，并视为乙方放弃收取该笔货款的权利。若甲方有关人员故意拖延相关结算单据的签字时间，乙方可及时函告甲方，甲方应予以及时处理。

6.4乙方明确地知道，甲方任何工作人员?(包括但不限于施管人员、项目经理、处长、库管员等)任何时候以甲方或甲方相关项目部的名义向乙方出具的欠据、收据、承诺及其他任何经济法律文书等，必须经甲方分管、主管领导审核确认后方为有效，否则无效，由此产生一切后果由乙方自行承担，甲方不承担任何法律责任。

第七条、产品的价格与货款的结算：

7.1产品的价格，以双方约定的为准。

7.2货款结算与支付：

本合同生效后，甲方分?次，按甲方财务制度和下表约定结算支付款项，并以乙方到甲方办理完各项审批手续之日为付款起算日。

第八条、验收和封样约定

8.1本合同签订后，乙方应当提供相关样品由甲方总库和乙方经办人共同确认后进行封。若在合同履行过程中甲方检查到乙方的货物与封样样品不一致的，乙方按本合同10.2条承担违约责任。

8.2双方按国家规定的方法及本合同约定的标准验收，双方交接时只对数量、包装、外观等进行验收，质量、规格、型号等以国家相关部门检验为准或者以安装、使用后相关部门验收为准。

第九条、对产品提出异议的时间和办法

9.1包装不符合约定或者破损的，则由双方开箱检查，检验产品是否有损坏，如有损坏，则由乙方更换。如当时不能发现问题的，则在今后发现情况后，甲方有权随时提出异议。

9.2乙方在接到甲方书面异议后，应在?天内负责处理，否则，即视为默认甲方提出的异议和处理意见。

第十条?、乙方的违约责任

10.1乙方不能交货的，应向甲方偿付不能交货部分货款%的违约金，因此造成甲方其他损失的，乙方还应赔偿甲方损失（含延误工期、业主索赔损失）。

10.2乙方所交产品品种、型号、规格、花色、质量不符合约定的，由乙方负责退货、更换，并从合同约定交货之日起至更换后产品符合约定之日止按逾期交货承担违约责任。如甲方要求退货的，乙方除按甲方通知的时间退还已经支付的货款外，还应按已付货款的20%支付违约金，乙方未能按时退还货款的，还应按同期银行逾期付款利息承担违约责任。

10.3乙方逾期交货的，按每逾期一天?元累计计算并向甲方偿付逾期交货的违约金，并赔偿甲方因此所受的其他损失（含业主索赔等损失）。

10.4乙方对产品质量负责，如因产品质量原因造成甲方及他人人身或财产损失的，由乙方承担责任并赔偿由此造成的损失。

10.5乙方保证所交产品不得以假充真，以次充好，以不合格冒充合格产品，甲方在任何时候发现上述情况，有权随时要求乙方退货、更换，并按本条2款承担违约责任。若已经安装或使用的，乙方还应赔偿由此造成的损失（包含返工、业主索赔等损失）。
